State registration of Private Entrepreneurs (PE) and a Limited Liability Companies (LLC)

The state registration of a Private Entrepreneur (PE) and a Limited Liability Company (LLC) is carried out by the State Register of Legal Entities of the RA Ministry of Justice.

To register a PE, it is required to apply to a territorial subdivision of the State Registry with their passport and social security card/identification card, pay a state duty of AMD 3,000. The registration process takes about 10 – 15 minutes.

To register an LLC, the founders/owners and the director of the LLC are required to apply to the territorial subdivision of the State Register with their passports and social security cards/identification cards. Prior to registering an LLC, the company name, legal address, amount of the capital invested, and the share of each owner has to be decided upon. Moreover, no state duty or other fees are charged for registering an LLC. The registration process takes about approximately 10-15 minutes.

It is not mandatory to have a company seal when registering an LLC. It is advisable that upon the state registration the PE or the LLC open a bank account to be able to conduct non-cash transactions.
